By replying #YesLaZebra (or otherwise affirmatively confirming your permission) in response to our request to feature your content, you ("you") agree to these Terms and grant the rights below to Colibri Boutique Hotels and its property La Zebra Hotel ("La Zebra," "we," "our," or "us") with respect to the photo, video, audio, caption, text, social-media post, or other content you submitted, posted, or that we identified (collectively, the "Content"). These Terms apply to the Content for which you provide such permission.

1. Grant of Rights.

You grant La Zebra, Colibri Boutique Hotels, and their respective parents, subsidiaries, affiliates, owners, successors, assigns, licensees, advertising and marketing agencies, media agencies, social-media platforms, vendors, service providers, contractors, partners, and designees (collectively, the "Authorized Parties") a non-exclusive, transferable, sublicensable, royalty-free, fully paid-up, worldwide license, for the maximum period permitted by applicable law, to use, reproduce, copy, host, store, distribute, transmit, publicly display, publicly perform, publish, republish, communicate, advertise, promote, adapt, and otherwise exploit the Content, in whole or in part, in any and all media and formats now known or later developed, for advertising, marketing, promotional, publicity, commercial, editorial, internal, and corporate purposes relating to La Zebra, Colibri Boutique Hotels, their properties, products, services, offers, and business activities. Permitted uses include, without limitation, websites, social-media channels, organic and paid social media, boosted and sponsored posts, digital and display advertising, programmatic advertising, retargeting, email, mobile communications, booking and travel platforms, print, out-of-home media, point-of-sale materials, presentations, brochures, collateral, and other advertising and promotional materials.

2. Modification and Derivative Rights.

You authorize the Authorized Parties, without further notice, permission, or approval, to duplicate, reformat, edit, alter, retouch, enhance, crop, resize, excerpt, translate, caption, add graphics, text, logos, trademarks, branding, promotional offers, pricing, calls to action, or other materials to the Content, and to combine the Content with other photographs, video, audio, copy, or materials, or use it in composite or derivative form. La Zebra will not knowingly modify Content in a manner that materially misrepresents a contributor's statements or depicts an identifiable individual in a defamatory or materially misleading manner.

3. Name, Image, Likeness, Voice, and Social-Media Identity.

To the extent embodied in or associated with the Content, you grant the Authorized Parties permission to use your name, social-media username or handle, profile name, image, likeness, voice, appearance, performance, statements, and biographical information in connection with the uses authorized by these Terms, without additional notice, approval, or compensation, to the maximum extent permitted by applicable law.

4. Ownership and Credit.

You retain whatever ownership rights you otherwise possess in your Content. Nothing in these Terms transfers ownership of your Content to La Zebra. Where practical, La Zebra may identify or credit you, including by tagging your social-media handle, but no use of the Content is conditioned upon attribution or credit.

5. Compensation Waiver.

You acknowledge that the opportunity for your Content to be considered for use by La Zebra is sufficient consideration for the permissions granted here. You waive any claim to royalties, fees, residuals, remuneration, or other compensation arising from or relating to the Authorized Parties' permitted use of the Content, except to the extent such waiver is prohibited by applicable law.

6. Your Representations and Warranties.

You represent and warrant that: (a) you are at least 18 years old and have the legal capacity and authority to agree to these Terms; (b) you own the Content or have obtained all rights, licenses, permissions, and authorizations necessary to grant the rights described in these Terms; (c) the Content and the Authorized Parties' permitted use of it will not infringe or violate any copyright, trademark, trade dress, privacy, publicity, personality, moral, contractual, confidentiality, or other proprietary or personal right of any third party; (d) the Content does not contain defamatory, unlawful, fraudulent, obscene, or materially misleading material; (e) you have not granted rights or entered into any agreement that conflicts with the rights granted here; and (f) all information you provide in connection with the Content and your permission is accurate and not misleading.

7. Music, Audio, Artwork, Trademarks, and Other Third-Party Material.

If the Content includes music, sound recordings, artwork, photographs, trademarks, logos, performances, or other material owned or controlled by a third party, you represent and warrant that you possess all rights and permissions necessary to authorize the commercial uses contemplated by these Terms. You understand that permission to use music or other material within a social-media platform does not necessarily include permission for La Zebra to use that material in advertising or other commercial media. La Zebra may elect not to use, may mute, replace, remove, or otherwise edit such third-party material from the Content.

8. Third-Party Persons; Consent; Minors.

You represent and warrant that you have obtained the express permission of each identifiable individual appearing or heard in the Content to permit the use of that individual's name, image, likeness, voice, appearance, and performance for the advertising, marketing, promotional, and other uses contemplated by these Terms. If any identifiable individual appearing or heard in the Content is under 18 years of age, you represent and warrant that you have obtained the express permission of that individual's parent or legal guardian. You agree not to provide permission for Content prominently featuring another person if you do not have authority to grant the permissions described in this Section.

9. No Approval Right; No Obligation to Use.

You waive any right to inspect or approve any use, edit, copy, layout, context, advertising message, promotional offer, or final material incorporating the Content, subject to applicable law. La Zebra has no obligation to use, publish, maintain, or continue using any Content and may discontinue any use at any time in its sole discretion.

10. No Employment, Agency, Sponsorship, or Endorsement Relationship.

Your submission of Content, your permission under these Terms, or La Zebra's use of the Content does not create an employment, agency, partnership, joint venture, sponsorship, spokesperson, or other relationship between you and La Zebra. Unless separately agreed in writing, you are not authorized to make statements, commitments, or representations on behalf of La Zebra or Colibri Boutique Hotels.

11. Release and Indemnification.

To the maximum extent permitted by applicable law, you release and discharge the Authorized Parties and their respective officers, directors, employees, representatives, and agents from claims, demands, damages, liabilities, and causes of action arising out of or relating to the use of the Content as authorized by these Terms, including claims based upon copyright, privacy, publicity, personality rights, attribution, alteration, or compensation. You agree to indemnify, defend, and hold harmless the Authorized Parties from and against any third-party claim, loss, liability, damage, judgment, cost, or reasonable expense (including reasonable attorneys' fees where recoverable) arising from your breach of these Terms or your representations and warranties.

12. Removal and Rights Concerns.

If you or another individual appearing in Content has a good-faith rights, privacy, or consent concern, you may contact social@colibriboutiquehotels.com. La Zebra will review the request and, where appropriate and reasonably practicable, cease future use or remove the Content from digital channels under La Zebra's control. A removal request does not require La Zebra to recall, destroy, or retrieve printed or physical materials already produced or distributed; advertising or media already placed, committed, or distributed; archival or record copies maintained for legitimate business or legal purposes; or third-party reposts, shares, caches, archives, or other uses outside La Zebra's reasonable control. Nothing in this Section limits any non-waivable right available under applicable law.

13. Moral Rights and Non-Waivable Rights.

To the extent permitted by applicable law, you consent to the editing, adaptation, modification, and other uses of the Content authorized by these Terms and agree not to assert moral rights or similar rights in a manner inconsistent with those authorized uses. Nothing in these Terms is intended to waive, assign, or limit any moral right or other right that applicable law does not permit you to waive, assign, or limit.

14. Platform Terms.

These Terms govern the permissions you grant to La Zebra and are separate from the terms, policies, and licenses of the social-media platform on which the Content appears. Nothing in these Terms limits any rights La Zebra may independently receive from an applicable platform or other source, and nothing here expands La Zebra's rights under a platform's terms where the platform independently restricts a particular use.

15. Changes to These Terms.

The version of these Terms in effect when you provide permission applies to the Content covered by that permission. La Zebra may modify, update, or correct these Terms prospectively from time to time. A material change will not retroactively expand the rights previously granted by you with respect to Content for which you already provided permission without any additional consent required by applicable law.

16. Entire Agreement; Severability; No Waiver.

These Terms constitute the agreement between you and La Zebra concerning the rights granted in the Content, except to the extent the parties have entered into a separate written agreement governing the same Content. If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. A failure by La Zebra to enforce any provision does not waive its right to enforce that or any other provision later.

17. Governing Law and Mandatory Rights.

These Terms and any dispute concerning them will be subject to the laws applicable to the La Zebra Hotel and the entity operating the applicable program, without depriving any individual of mandatory rights or protections that cannot lawfully be waived or displaced. Because La Zebra is located in Mexico and the Content may be submitted and used across multiple jurisdictions, applicable copyright, privacy, publicity, consumer-protection, and personality-rights laws may also apply. Nothing in these Terms is intended to exclude or limit mandatory protections under applicable law.
